Terms of Service
Last updated: September 21, 2026
1. Overview
This website is operated by 成都简易特鞋业有限公司 (English translation for reference: Chengdu Jian Yi Te Footwear Co., Ltd.), trading online as Janet Shoes. Throughout these Terms of Service, “Janet Shoes,” “we,” “us,” and “our” refer to the website operator.
These Terms of Service govern your access to and use of www.janetshoes.com, including any information, products, customization services, quotations, samples, wholesale services, and other services made available through the website or our authorized sales channels.
By visiting the website, submitting an inquiry, approving a quotation or sample, or placing an order, you agree to these Terms of Service and any additional terms referenced in them. If you do not agree, do not use the website or place an order.
Nothing in these Terms limits rights that cannot lawfully be excluded under applicable consumer protection law.
2. Shopify Platform
Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to present and sell our products and services. Your use of the website may also be subject to Shopify’s applicable platform terms and privacy practices.
3. Eligibility and Customer Information
You must be legally capable of entering into a binding contract in your place of residence. If you place an order on behalf of a company or other organization, you confirm that you have authority to bind that organization.
You agree to provide current, complete, and accurate billing, shipping, contact, tax, and customs information. You are responsible for keeping this information updated and for any reasonable costs caused by inaccurate or incomplete information.
4. Products and Website Information
We make reasonable efforts to display and describe our products accurately. However, colors and textures may appear differently depending on lighting, photography, screen settings, materials, dye lots, and production batches. Measurements, heel heights, weights, and other specifications are approximate unless expressly confirmed in writing.
Handmade, made-to-order, or customized footwear may have minor differences in stitching, texture, grain, color, positioning, or finish. These normal production variations are not defects when they remain within an approved sample, specification, or reasonable industry tolerance.
We may update product descriptions, specifications, prices, availability, or website content without notice. We may discontinue a product or limit sales by customer, order, destination, or quantity where reasonably necessary.
5. Customization Services
Available customization may include color, material, heel design or height, sizing, packaging, and logo application. Availability depends on technical feasibility, material supply, minimum order quantity, production capacity, and written confirmation.
Before production begins, you are responsible for reviewing and confirming all applicable specifications, including:
-
style and construction;
-
size range and size chart;
-
color and material;
-
heel type and height;
-
logo, artwork, labels, and packaging;
-
quantity, assortment, and delivery details; and
-
any sample, prototype, digital rendering, or specification sheet.
Production will follow the final written confirmation. Changes requested after sample approval, material purchase, or production start may be refused or may require additional charges and a revised delivery schedule.
Unless otherwise agreed, samples and development work are for evaluation and approval and may differ slightly from mass production because of material batches and manufacturing tolerances.
6. Customer-Supplied Logos, Artwork, and Specifications
You retain ownership of logos, artwork, trademarks, and original materials that you provide to us. You grant us a limited permission to use those materials only as reasonably necessary to prepare samples, manufacture your products, package the order, and provide the requested services.
You confirm that you own or have permission to use all materials and instructions you provide and that our authorized use will not infringe another person’s intellectual property or other rights. We may refuse work that we reasonably believe is unlawful, misleading, counterfeit, infringing, unsafe, or technically unsuitable.
Unless you give separate permission, we will not intentionally sell customer-branded products to unrelated third parties. Any confidentiality or exclusivity requirement beyond this provision must be agreed in a separate written agreement.
7. Quotations, Orders, and Acceptance
Website listings, discussions, and quotations are invitations to place an order and do not bind us until we accept the order. An order is accepted when we issue written confirmation, receive the required payment, or begin performance, whichever occurs first.
For custom, sample, wholesale, or bulk orders, the approved quotation, pro forma invoice, purchase order, specification sheet, and written confirmation form part of the agreement. If they conflict with these Terms, the specifically agreed written order terms control for that order.
We may reject or cancel an order before acceptance because of pricing or description errors, suspected fraud, sanctions or legal restrictions, material unavailability, production limitations, shipping restrictions, or other reasonable business grounds. If payment has already been received for an order we cannot accept, we will refund the applicable amount.
Minimum order quantities, size assortments, sample fees, tooling costs, and production requirements will be shown on the product page or confirmed in writing.
8. Prices and Payment
Prices are shown in the currency indicated on the website or quotation. Unless expressly stated otherwise, prices do not include shipping, insurance, customs duties, import taxes, brokerage fees, bank charges, or destination-country taxes.
Payment terms are those shown at checkout or stated in the quotation or invoice. Custom production may require full payment or a non-refundable deposit before materials are purchased or production begins. Any remaining balance must be paid by the agreed deadline and, unless otherwise agreed, before shipment.
You authorize us and our payment providers to charge the payment method supplied for your order. You are responsible for fees charged by your bank, payment provider, or currency conversion service.
If payment is overdue, we may pause development, production, or shipment and revise the delivery schedule. This does not affect any other rights available to us under the order agreement or applicable law.
9. Production and Delivery
Production schedules begin only after all required payment, specifications, artwork, and approvals have been received. Any production or delivery date is an estimate unless we expressly agree in writing that it is guaranteed.
Shipping methods, charges, customs responsibilities, estimated delivery times, tracking, delayed or damaged shipments, and failed delivery are governed by our Shipping Policy and any order-specific written terms.
Risk of loss and title transfer according to the shipping term expressly stated in the quotation or invoice. If no shipping term is stated, risk of loss transfers as provided by applicable law and the carrier arrangement, without limiting mandatory consumer rights.
10. Cancellations, Returns, and Refunds
Cancellation, return, exchange, and refund rights are governed by our Refund Policy, the applicable written order terms, and mandatory law.
Ready-to-ship orders cannot normally be cancelled after dispatch. Custom, personalized, sample, or made-to-order products may become non-cancellable and non-refundable after materials have been ordered, artwork or samples have been approved, or production has begun, except where the products are defective, do not materially conform to the approved specifications, or applicable law requires a remedy.
If you believe a product is defective or incorrect, contact us promptly with your order number and clear photographs or video. Do not return products without receiving return instructions.
11. Intellectual Property
Unless otherwise stated, the website and its content—including text, graphics, photographs, videos, product designs, logos, icons, layouts, and software—are owned by or licensed to Janet Shoes and are protected by applicable intellectual property laws.
You may use the website only for lawful personal or internal business purposes. You may not reproduce, distribute, sell, license, scrape, modify, publish, or commercially exploit website content without our prior written permission, except where permitted by law.
Purchasing a product does not transfer any intellectual property rights in our website, brand, photographs, designs, patterns, molds, lasts, manufacturing know-how, or other materials, unless expressly agreed in writing.
12. Acceptable Use
You must not use the website or services:
-
for unlawful, fraudulent, deceptive, or infringing activity;
-
to submit false, harmful, malicious, or unauthorized content;
-
to introduce malware, interfere with security, or disrupt the website;
-
to collect or track personal information without lawful authority;
-
to impersonate another person or misrepresent your authority;
-
to purchase or request counterfeit or infringing products; or
-
to evade sanctions, export controls, customs requirements, or other legal restrictions.
We may suspend or terminate access, reject an order, or cooperate with lawful authorities when reasonably necessary to address suspected misuse.
13. Third-Party Services and Links
The website may use or link to services operated by third parties, including Shopify, payment providers, logistics providers, analytics services, social media platforms, and WhatsApp. Third-party services are governed by their own terms and privacy practices.
We are not responsible for third-party websites, services, content, availability, or security except to the extent responsibility cannot legally be excluded. Review the applicable third-party terms before using their services.
14. Privacy
Our collection and use of personal information are governed by our Privacy Policy. By using the website or placing an order, you acknowledge that information may be processed by service providers and transferred across borders as described in that policy and as permitted by applicable law.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the website and general website content are provided on an “as available” basis. We do not guarantee that the website will always be uninterrupted, secure, error-free, or compatible with every device.
Product warranties and remedies are those expressly stated in the applicable product description, written order terms, Refund Policy, or mandatory law. We do not exclude warranties, guarantees, or consumer remedies that cannot legally be excluded.
16. Limitation of Liability
To the maximum extent permitted by law, Janet Shoes and its directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost business opportunities, or loss of data, arising from the website, products, or services.
For claims that may lawfully be limited, our total aggregate liability will not exceed the amount you paid to us for the product or order giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer protection rights.
17. Indemnification for Business Customers
If you purchase or use our products for business purposes, you agree to indemnify us against third-party claims, losses, and reasonable costs arising from your unlawful instructions, misuse of the products, breach of these Terms, or infringement caused by customer-supplied logos, artwork, specifications, or materials.
This section does not apply to consumers to the extent prohibited by applicable law.
18. Force Majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemic or pandemic events, war, civil unrest, government action, sanctions, labor disruption, power or network failure, carrier interruption, customs delay, port congestion, fire, flood, or material shortage.
We will take reasonable steps to reduce the effect of the event and will notify you when practical. If performance becomes impossible or is delayed for an extended period, the parties will discuss a reasonable solution, subject to mandatory law.
19. Governing Law and Disputes
These Terms and any dispute arising from them are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.
The parties should first try to resolve a dispute through good-faith written discussions. If a dispute cannot be resolved, it may be submitted to a court with jurisdiction in Chengdu, Sichuan, China, unless applicable mandatory consumer law gives you the right to bring a claim in another court or under another law.
20. Changes to These Terms
We may update these Terms to reflect changes in our services, business practices, or legal requirements. The revised version will be posted on this page with an updated date. Changes apply from publication and do not retroactively alter an order already accepted unless required by law or agreed with you.
21. Severability and No Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver of that provision or any other right.
22. Entire Agreement
These Terms, together with the applicable order confirmation, quotation, invoice, product specifications, Privacy Policy, Shipping Policy, Refund Policy, and Legal Notice, form the agreement between you and us concerning the website and your order.
